Ad targeting and retargeting company Criteo has a new Chairperson, to go with a recently announced change of CEO. Frederik 'Rik' van der Kooi has been a Board member since June 2023 and succeeds Rachel Picard, who has held the Chair for five years and will continue as a Director.

New Chair for CriteoIn addition, the company has nominated Stefanie Jay to stand for election as a new independent director at its 2025 AGM, while Hubert de Pesquidoux, Chairperson of the Audit Committee since 2012, will stand down.

Criteo's 'Commerce Media Platform' combines predictive software and consumer intent / purchasing data to deliver targeted ads in real time. The firm announced three months ago that it had appointed Michael Komasinski, currently CEO of the Americas at dentsu, to replace Megan Clarken as CEO - Clarken announced her retirement last August.

Van der Kooi brings in-depth digital advertising expertise and executive experience, most recently from Microsoft where he was a Corporate Vice President, leading across search, display, native, retail media and video offerings for more than a decade and scaling the software giant's advertising business to $10 billion. Before this he was COO of Microsoft's Online Services Division, leading the acquisitions and integrations of PromoteIQ in retail media, Xandr and others. He also served on the Board of Directors of the Interactive Advertising Bureau (IAB) in the US, including two years as Chairman from 2019.

Jay's twenty years of experience across omnichannel retail, eCommerce and digital marketplaces includes working as SVP and Chief Business and Strategy Officer at eBay; VP and General Manager at Walmart Media Group (now Walmart Connect); and leading Walmart's global M&A and business development initiatives at Walmart. Earlier in her career, she spent more than ten years at Goldman Sachs.

'Criteo benefits greatly from Rik's guidance on the Board,' says Komasinski, 'and we are thrilled to have him serve as Chairperson. Rik's industry expertise and deep understanding of our Company will strengthen our ability to drive continued momentum and capture the significant opportunities Criteo has ahead. I am also confident that Stefanie will be a valuable addition to our boardroom as she brings extensive strategic experience and customer insights in commerce media.' He adds: 'I also want to extend my heartfelt thanks on behalf of the Board to Rachel for her exceptional guidance and contributions throughout her tenure as Chairperson. Her leadership has been instrumental in shaping Criteo's successful transformation, and we are grateful for her continued service on the Board. We also thank Hubert for his invaluable contributions to financial stewardship and governance at Criteo, and we wish him all the best in his future endeavors.'
